Leonardo is an AI-assisted software-building platform. It can help generate code and applications, but AI output can be wrong. You are responsible for reviewing, testing, and validating anything you build before using it for real business operations.

You own your data. If your plan includes source-code access, you can access the app-specific code generated for your project. LlamaPress still owns Leonardo, the agent runtime, platform, prompts, infrastructure tooling, templates, and reusable technology.

Do not upload regulated or sensitive data unless we approve it in writing. Do not use Leonardo for illegal, harmful, abusive, or high-risk activity.

Hosted environments and support are provided according to your plan. Unless your plan expressly includes an SLA or backup guarantee, there is no guaranteed uptime, restore time, response time, or data recovery commitment.

LlamaPress's liability is limited. You are responsible for your use of Leonardo, your data, your generated apps, your users, and your business decisions.

These Terms of Service (the "Terms") govern your access to and use of Leonardo, LlamaPress, and related websites, applications, hosted environments, AI coding agents, generated applications, support services, APIs, documentation, and other products or services provided by LlamaPress AI, Inc. ("LlamaPress," "we," "us," or "our").

By creating an account, accessing Leonardo, uploading files, generating code, deploying an application, using a hosted environment, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "Customer" or "you" refers to that organization.

If you do not agree to these Terms, do not use the Services.

1. Definitions

"Services" means Leonardo, LlamaPress, our websites, AI coding agents, hosted development environments, generated applications, cloud infrastructure, APIs, software tools, documentation, support, and related services.

"Leonardo" means LlamaPress's AI-assisted coding agent, software-building system, and related agent runtime, orchestration, tooling, prompts, infrastructure, and interfaces.

"Customer Data" means data, files, spreadsheets, documents, code, text, prompts, images, database records, credentials, configuration, business information, and other content submitted, uploaded, entered, connected, imported, or otherwise provided by you or your users to the Services.

"Output" means code, text, suggestions, analysis, database structures, application screens, configuration, documentation, workflows, reports, or other material generated or assisted by the Services.

"Customer Application" means an application, website, internal tool, workflow, database, or other software project generated, modified, hosted, deployed, or assisted through the Services for you.

"LlamaPress Technology" means Leonardo, LlamaPress, our agent runtime, prompts, system instructions, workflows, infrastructure automation, deployment tooling, reusable components, templates, internal libraries, platform code, orchestration logic, models, methods, know-how, and other technology owned, developed, licensed, or operated by LlamaPress.

2. The Services

LlamaPress provides an AI-assisted software-building platform that may help users generate, modify, deploy, host, and operate software applications.

The Services may include experimental, beta, preview, or rapidly evolving features. We may modify, suspend, discontinue, limit, or replace any part of the Services at any time.

Unless separately agreed in writing, the Services are provided as a product/platform and not as a custom software development engagement, professional services engagement, managed engineering service, legal service, financial service, compliance service, accounting service, construction estimating service, or other professional advisory service.

3. Important AI Notice

Leonardo is an AI-assisted coding and software-building system. It may generate, modify, suggest, deploy, or assist with software code, database changes, infrastructure configuration, documentation, reports, calculations, workflows, imports, and other outputs.

You acknowledge and agree that AI-generated or AI-assisted Output may be incomplete, incorrect, insecure, noncompliant, outdated, misleading, unsuitable for your intended use, or harmful if used without review.

You are solely responsible for reviewing, testing, validating, approving, and monitoring all Output and Customer Applications before relying on them in production, business-critical workflows, customer-facing systems, regulated environments, financial decisions, legal decisions, construction estimates, operational decisions, or other important use cases.

Unless expressly agreed in a separate written order form or statement of work, LlamaPress does not guarantee that Output, Customer Applications, generated code, imports, reports, calculations, workflows, database schemas, deployments, or recommendations will be accurate, secure, compliant, error-free, uninterrupted, fit for your purpose, or suitable for production use.

You should not rely on the Services as your sole source of truth.

4. Account Registration and Responsibility

You may need an account to use certain Services. You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for maintaining the confidentiality and security of your account credentials, API keys, access tokens, GitHub credentials, cloud credentials, database credentials, and other secrets.

You are responsible for all activity under your account, including activity by your employees, contractors, users, agents, invitees, or anyone who accesses the Services through your account or credentials.

You must promptly notify us of any unauthorized access, security incident, credential exposure, or suspected misuse of your account.

5. Customer Data

As between you and LlamaPress, you retain ownership of Customer Data.

You grant LlamaPress a worldwide, non-exclusive, royalty-free license to access, use, host, copy, process, transmit, display, modify, create derivative works from, and otherwise handle Customer Data as reasonably necessary to provide, maintain, secure, troubleshoot, improve, and support the Services.

You represent and warrant that you have all rights, licenses, permissions, consents, and authority necessary to provide Customer Data to the Services and to authorize LlamaPress and its subprocessors to process Customer Data as described in these Terms.

You are solely responsible for the accuracy, quality, legality, integrity, reliability, and appropriateness of Customer Data.

You agree not to upload, submit, or process any data through the Services if doing so would violate law, contractual obligations, third-party rights, privacy rights, intellectual property rights, employment obligations, confidentiality obligations, or platform terms.

6. Restricted and Regulated Data

Unless LlamaPress expressly agrees in writing, you may not use the Services to collect, process, store, transmit, or generate Output involving:

  • protected health information or data subject to HIPAA;
  • payment card data subject to PCI-DSS;
  • classified, export-controlled, ITAR-controlled, or national-security-sensitive information;
  • children's personal information;
  • biometric identifiers;
  • highly sensitive personal information;
  • criminal justice information;
  • government-restricted information;
  • credentials, private keys, seed phrases, or secrets not intended to be processed by the Services;
  • data you do not have the right to use; or
  • any other regulated data requiring special legal, security, compliance, or contractual controls.

If you need to use the Services with regulated or sensitive data, you must contact LlamaPress first and obtain written approval through a separate agreement.

7. AI Models, Cloud Providers, and Third-Party Services

The Services may use third-party AI model providers, cloud providers, hosting providers, infrastructure providers, analytics providers, email providers, source-code hosting providers, payment processors, and other subprocessors.

You authorize LlamaPress to transmit Customer Data, prompts, code, logs, metadata, Output, and related information to such providers as reasonably necessary to provide, secure, monitor, troubleshoot, and improve the Services.

Third-party services may be subject to their own terms, privacy policies, usage limits, availability constraints, security practices, data-retention policies, and pricing. LlamaPress is not responsible for third-party service failures, outages, errors, data loss, model behavior, pricing changes, policy changes, or discontinued services.

LlamaPress will not intentionally use Customer Data to train public foundation models unless we expressly disclose that use or obtain your consent. However, third-party providers may process data according to their own applicable terms and agreements.

The transmissions and processing described in this section apply unless you have entered into a separate written agreement with LlamaPress AI — such as a Data Processing Agreement or a Zero-Data-Retention (ZDR) configuration agreement — in which case that agreement controls, including any restrictions on which providers may receive data and what they may retain.

8. Ownership of Output and Customer Applications

Subject to your compliance with these Terms and payment of all applicable fees, and except for LlamaPress Technology and third-party materials, LlamaPress assigns to you any rights we may have in the application-specific Output generated for your Customer Application.

Where your applicable plan includes source-code access or export rights, you may use, copy, modify, and deploy the application-specific code generated for your Customer Application for your internal business purposes, subject to these Terms and any applicable third-party or open-source licenses.

You acknowledge that similar or identical Output may be generated for other users, especially for common prompts, layouts, workflows, boilerplate code, database structures, user-interface patterns, business logic patterns, or standard software features. LlamaPress does not guarantee that Output will be unique.

You are responsible for determining whether Output infringes third-party rights, violates licenses, complies with open-source obligations, or is suitable for your intended use.

9. LlamaPress Technology

LlamaPress owns and retains all rights, title, and interest in and to LlamaPress Technology.

Nothing in these Terms transfers ownership of LlamaPress Technology to you.

For clarity, LlamaPress Technology includes Leonardo, the agent runtime, orchestration logic, prompts, system instructions, internal tooling, infrastructure automation, deployment tooling, reusable components, templates, platform code, generalized workflows, methods, know-how, product improvements, monitoring systems, feedback systems, and other technology used to provide the Services.

You may not copy, modify, distribute, sell, sublicense, reverse engineer, extract, scrape, reproduce, or create derivative works from LlamaPress Technology except as expressly permitted by these Terms or a separate written agreement.

The fact that LlamaPress Technology is used to generate or support a Customer Application does not give you ownership of LlamaPress Technology.

10. Source Code Access

If your plan or order form includes source-code access, such access applies only to the application-specific code for your Customer Application, excluding LlamaPress Technology, proprietary infrastructure tooling, Leonardo agent runtime, system prompts, internal libraries, deployment automation, monitoring tools, and other LlamaPress-owned technology.

Source-code access may be provided through GitHub, downloadable export, repository invitation, archive file, or another method determined by LlamaPress.

You are responsible for maintaining your own copies of exported code and for securing any repositories, credentials, secrets, or deployment environments you control.

LlamaPress may withhold, suspend, or revoke source-code access if you fail to pay applicable fees, violate these Terms, misuse the Services, create security risk, or attempt to access excluded LlamaPress Technology.

11. Feedback

If you provide suggestions, bug reports, ideas, feature requests, screenshots, comments, product feedback, or other feedback regarding the Services, you grant LlamaPress a perpetual, irrevocable, worldwide, royalty-free license to use, copy, modify, distribute, commercialize, and incorporate that feedback into the Services without restriction or compensation.

LlamaPress may use aggregated, de-identified, or generalized learnings from your use of the Services to improve the Services, develop new products, improve agents, improve workflows, create templates, improve infrastructure, or improve customer experience, provided we do not disclose your confidential Customer Data in identifiable form.

12. Acceptable Use

You may not use the Services to:

  1. violate any law, regulation, contract, third-party right, or platform policy;
  2. generate, deploy, host, or facilitate malware, ransomware, spyware, credential theft, phishing, spam, botnets, unauthorized scraping, denial-of-service activity, exploit code, or other harmful software;
  3. access, attack, test, probe, scan, or interfere with systems you do not own or have permission to test;
  4. steal, expose, misuse, or attempt to obtain credentials, tokens, private keys, API keys, secrets, or personal data;
  5. generate or operate applications involving illegal goods, fraud, scams, deception, harassment, abuse, exploitation, or unlawful surveillance;
  6. process restricted or regulated data without written approval;
  7. circumvent rate limits, usage limits, billing limits, access controls, authentication, authorization, security controls, or model-safety controls;
  8. reverse engineer, extract, reveal, copy, or misuse LlamaPress prompts, system instructions, internal tools, models, runtime behavior, or proprietary workflows;
  9. use the Services to build, train, benchmark, or improve a directly competing AI coding agent, software-building platform, or agentic development platform without LlamaPress's written permission;
  10. resell, sublicense, rent, lease, or provide access to the Services to third parties without authorization;
  11. overload, degrade, disrupt, or abuse LlamaPress infrastructure or third-party infrastructure;
  12. misrepresent Output as human-generated when disclosure is legally required or contextually necessary;
  13. use Output in a way that violates open-source licenses or third-party intellectual property rights; or
  14. use the Services in any way that LlamaPress reasonably believes creates legal, security, operational, financial, reputational, abuse, or infrastructure risk.

LlamaPress may investigate suspected violations and may suspend or terminate access if we reasonably believe you have violated this section.

13. Hosted Environments and Compute Usage

The Services may include hosted applications, development environments, virtual machines, containers, databases, agents, background jobs, file storage, logs, backups, and other compute resources.

You are responsible for your use of hosted environments, including code executed, applications deployed, files uploaded, data stored, users invited, requests made, and third-party integrations connected.

You may not use hosted environments for crypto mining, high-volume scraping, spam, malware, unauthorized security testing, proxying traffic, file hosting unrelated to your Customer Application, abusive workloads, or workloads that materially exceed your plan's intended usage.

LlamaPress may throttle, limit, suspend, stop, restart, migrate, delete, or otherwise manage hosted environments to protect reliability, security, cost, compliance, or infrastructure availability.

Unless expressly included in your plan, hosted environments are not dedicated infrastructure and may be subject to resource limits, sleep behavior, restarts, maintenance, migrations, or provider outages.

14. Production Use

Unless expressly stated in your plan or a separate written agreement, the Services are not guaranteed to be production-ready, error-free, secure, compliant, uninterrupted, or suitable for business-critical use.

You are responsible for determining whether a Customer Application is ready for production use.

Before using a Customer Application in production, you should review and test code, database migrations, permissions, authentication, authorization, calculations, imports, workflows, third-party integrations, security controls, backups, and deployment configuration.

You are solely responsible for decisions, losses, estimates, bids, reports, financial calculations, operational actions, customer communications, compliance obligations, and business outcomes resulting from your use of Customer Applications or Output.

15. Support

Support is provided only as described in your applicable plan, order form, subscription page, or written agreement.

Unless expressly stated otherwise, support is provided on a commercially reasonable, best-effort basis and does not include guaranteed response times, resolution times, uptime commitments, data-recovery commitments, custom development, security audits, compliance audits, emergency engineering, or managed production operations.

LlamaPress may provide guidance, troubleshooting, bug fixes, restarts, configuration assistance, or other support at our discretion, but doing so does not create any ongoing obligation beyond your purchased plan.

Support does not transfer responsibility for reviewing, testing, validating, securing, or operating Customer Applications unless a separate written agreement expressly says otherwise.

16. Backups and Data Retention

LlamaPress may perform backups for certain hosted environments, but backups are not guaranteed unless expressly stated in your applicable plan or written agreement.

Unless your plan expressly includes specific backup commitments, all backups, restores, retention periods, and recovery efforts are provided on a best-effort basis.

You are responsible for maintaining independent copies of important Customer Data, exported code, credentials, documentation, and business records.

LlamaPress is not responsible for lost Customer Data, deleted Customer Applications, failed imports, overwritten records, migration errors, corrupted databases, failed backups, incomplete backups, or inability to restore data, except to the limited extent required by law and subject to the limitations of liability in these Terms.

After termination, cancellation, non-payment, account inactivity, or plan expiration, LlamaPress may delete Customer Data, Customer Applications, hosted environments, backups, logs, repositories, and related materials after a reasonable period, unless otherwise required by law or agreed in writing.

17. Fees, Billing, and Payment

You agree to pay all fees associated with your selected plan, subscription, usage, hosting, support, add-ons, overages, or order form.

Fees are due according to the billing terms presented at checkout, in the applicable plan, or in a separate order form.

Unless expressly stated otherwise, fees are non-refundable.

LlamaPress may change prices, plan limits, included features, usage limits, support scope, hosting terms, or billing structures at any time. Price changes for recurring subscriptions will apply according to the notice or renewal terms provided.

If payment fails, is late, disputed, reversed, or incomplete, LlamaPress may suspend, limit, downgrade, or terminate access to the Services, hosted environments, source-code access, support, backups, and Customer Applications.

You are responsible for taxes, duties, bank fees, card fees, chargebacks, and other payment-related costs.

18. Cancellation and Termination

You may cancel your subscription according to the cancellation process provided through the Services or by contacting LlamaPress.

Cancellation stops future recurring billing but does not automatically entitle you to a refund for prior payments, partial periods, setup fees, support fees, usage fees, hosting fees, or prepaid periods, unless required by law or expressly stated in writing.

LlamaPress may suspend or terminate your access to the Services if you violate these Terms, fail to pay fees, create risk, misuse the Services, violate an acceptable use policy, infringe third-party rights, create security concerns, or expose LlamaPress or others to legal, operational, financial, or reputational harm.

Upon termination, your right to access the Services ends. Sections that by their nature should survive termination will survive, including ownership, restrictions, disclaimers, limitation of liability, indemnification, confidentiality, payment obligations, and dispute terms.

19. Confidentiality

If you receive non-public information from LlamaPress that is marked confidential or should reasonably be understood as confidential, you agree to use it only for purposes of using the Services and to protect it using reasonable care.

LlamaPress will use reasonable care to protect your non-public Customer Data. However, you should not submit confidential, sensitive, regulated, or trade-secret information unless your plan, security requirements, and legal obligations are appropriate for that use.

Confidentiality obligations do not apply to information that is public, independently developed, rightfully received from another source, or disclosed as required by law.

20. Security

LlamaPress uses commercially reasonable measures designed to protect the Services. However, no system, model, cloud provider, development environment, deployment pipeline, or hosted application can be guaranteed to be secure.

You are responsible for securing your account, users, devices, browsers, repositories, credentials, Customer Applications, integrations, deployment environments, and data exports.

You must not intentionally introduce vulnerabilities, malware, malicious code, secrets exposure, insecure dependencies, or unauthorized access mechanisms into the Services.

If you discover a vulnerability or security issue, you agree to notify LlamaPress promptly and not exploit, disclose, or misuse the issue.

21. Third-Party and Open-Source Software

Customer Applications and Output may include, depend on, or interact with third-party software, packages, libraries, APIs, services, models, plugins, or open-source components.

Such materials may be subject to separate licenses, terms, fees, restrictions, security risks, vulnerabilities, deprecations, or availability limits.

You are responsible for reviewing and complying with all applicable third-party and open-source licenses and terms.

LlamaPress does not guarantee that Output or Customer Applications will be free of third-party rights, open-source obligations, license conflicts, vulnerabilities, or dependency issues.

22. No Professional Advice

The Services may generate analysis, recommendations, reports, calculations, summaries, estimates, project plans, business logic, financial outputs, legal-like text, compliance-related text, or other information.

The Services do not provide legal, financial, accounting, tax, insurance, medical, engineering, construction, safety, compliance, or other professional advice.

You are responsible for consulting qualified professionals where appropriate and for independently validating all Output before relying on it.

23. Disclaimers

To the maximum extent permitted by law, the Services, Output, Customer Applications, hosted environments, support, backups, documentation, APIs, and all related materials are provided "as is" and "as available."

LlamaPress disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, reliability, and error-free operation.

LlamaPress does not warrant that:

  • the Services will be uninterrupted, secure, available, or error-free;
  • Output will be accurate, complete, unique, lawful, secure, non-infringing, or suitable for your use case;
  • Customer Applications will be production-ready, compliant, bug-free, secure, or fit for purpose;
  • hosted environments will remain available, performant, or unchanged;
  • data, code, backups, repositories, or logs will not be lost, corrupted, deleted, or exposed;
  • defects will be corrected;
  • the Services will meet your requirements; or
  • third-party services will remain available or compatible.

24. Limitation of Liability

To the maximum extent permitted by law, LlamaPress and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost savings, lost business opportunities, lost goodwill, business interruption, lost data, corrupted data, failed bids, inaccurate estimates, construction losses, replacement services, cost of cover, security incidents, unauthorized access, or claims by your customers or end users.

To the maximum extent permitted by law, LlamaPress's total aggregate liability arising out of or relating to these Terms, the Services, Output, Customer Applications, hosted environments, support, backups, or any related matter will not exceed the greater of:

  1. the amount you paid to LlamaPress for the Services giving rise to the claim during the three months before the event giving rise to liability; or
  2. one hundred U.S. dollars ($100).

For paid business plans or enterprise order forms, the applicable order form may state a different liability cap. If it does not, the cap above applies.

The limitations in this section apply regardless of the theory of liability, whether based in contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if LlamaPress has been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

25. Indemnification

You will defend, indemnify, and hold harmless LlamaPress and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  1. Customer Data;
  2. Customer Applications;
  3. your use of Output;
  4. your use of the Services;
  5. your products, services, business, customers, users, or end users;
  6. your violation of these Terms;
  7. your violation of law;
  8. your violation of third-party rights;
  9. your use of regulated, restricted, confidential, personal, or sensitive data;
  10. your failure to review, test, validate, secure, or monitor Output or Customer Applications;
  11. your modifications to Output or Customer Applications;
  12. your deployment, hosting, operation, or distribution of Customer Applications;
  13. your instructions, prompts, requested features, or business logic; or
  14. disputes between you and your customers, users, employees, contractors, vendors, or other third parties.

LlamaPress may assume exclusive control of any matter subject to indemnification, and you agree to cooperate with our defense.

26. Suspension and Emergency Action

LlamaPress may immediately suspend, limit, disable, isolate, stop, migrate, remove, or terminate access to any account, hosted environment, Customer Application, agent, deployment, repository, data, or feature if we reasonably believe that:

  • you violated these Terms;
  • your use creates security, legal, operational, financial, infrastructure, abuse, compliance, or reputational risk;
  • your use may harm LlamaPress, other customers, third-party providers, or the public;
  • payment is overdue, disputed, reversed, or fraudulent;
  • your account or environment is compromised;
  • your workload materially exceeds intended usage;
  • third-party providers require suspension; or
  • emergency action is necessary to protect systems or data.

LlamaPress is not liable for suspension or emergency action taken in good faith.

27. Publicity

Unless you opt out by written notice, LlamaPress may identify you as a customer and use your name, logo, and general description of your use case in customer lists, pitch materials, websites, and marketing materials.

LlamaPress will not publicly disclose your confidential Customer Data without permission.

28. Changes to the Services and Terms

LlamaPress may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, emailing you, notifying you in-product, or using another reasonable method.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using the Services.

29. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Utah County, Utah, and you consent to personal jurisdiction and venue in those courts.

30. Export and Sanctions Compliance

You may not use, export, re-export, import, sell, transfer, or provide access to the Services, Output, Customer Applications, or related technology in violation of export-control laws, sanctions, embargoes, or trade restrictions.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a sanctioned jurisdiction and are not listed on any restricted-party list.

31. Miscellaneous

These Terms, together with any applicable order form, plan terms, privacy policy, acceptable use policy, or written addendum, constitute the entire agreement between you and LlamaPress regarding the Services.

If any provision is found unenforceable, the remaining provisions will remain in effect.

You may not assign these Terms without LlamaPress's prior written consent. LlamaPress may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or by operation of law.

LlamaPress's failure to enforce a provision is not a waiver.

Headings are for convenience only.

No agency, partnership, joint venture, employment, fiduciary, or franchise relationship is created by these Terms.
